€20 MILLION SECURED AND GUARANTEED NOTE ISSUANCE PROGRAMME

On the 12th August 2013, Medserv p.l.c. issued a base prospectus pursuant to which a €20 million secured and guaranteed note issuance programme was launched. On the 30th August 2013, the company issued Final Terms (together with a supplement to the prospectus) and it issued the first series and tranche of the programme, that is, €13million 6% Secured and Guaranteed Notes due 2023 (with the Company’s option to redeem from the year 2020) issued at par (€100). The Notes were admitted to the Malta Stock Exchange on the 14th October. Interest on the Notes started to accrue as from 11 October 2013.

On the 7th April 2014, Medserv p.l.c. issued a further supplement to the base prospectus as well as an additional set of final terms. Pursuant thereto, the company issued the second tranche of the first series of programme, that is, €7million 6% Secured and Guaranteed Notes due 2023 (with the Company’s option to redeem from the year 2020) issued at the price of €101.50 (par being €100). The Notes were admitted to the Malta Stock Exchange on the 8th May 2014. Interest on the Notes started to accrue as from 8th May 2014.

The first and second tranche of the Notes are fully fungible and following the first interest payment on the 30 September 2014 both notes were merged into one note.
